About the FSA
The Financial Services Authority (FSA) is an independent non-governmental body which regulates all providers of financial services in the UK. In 2013, the FSA will become two new authorities: the Financial Conduct Authority (FCA) and the Prudential Regulation Authority (PRA).
As part of our close-knit UK Listing Authority team, you will be exposed to the transactions that make the business headlines, while gaining practical, in-depth knowledge of markets regulation.
We will become part of the new Financial Conduct Authority when it comes into being.
About the role
The Transaction Review function is part of the FSA’s UK Listing Authority department. Its role is to vet prospectuses and deal with complex queries on the listing and prospectus rules. As an Associate, your task will be to review draft prospectuses and circulars for compliance with regulations, as part of a two-person case team. You will initially act as the first reader in the case team, responsible for preparing comments on the documents provided by the issuers and for liaising with issuers’ advisers. You will also assess queries concerning the interpretation of the regime in complex areas. Rest assured that we will provide initial training to handle this specialist field. It’s a fascinating opportunity to gain exposure to wide range of issuers and their transactions, focusing initially on debt and derivative securities.
Organised and naturally analytical, you will be degree-educated (or equivalent), with experience in Accountancy, Law or Corporate Finance. Ideally you’ll have some knowledge of the, Listing Rules, Prospectus Rules and the Prospectus Directive – however, this isn’t essential. It’s more important that you have an eye for detail, strong verbal reasoning skills and excellent written English. You’ll also take pride in your work and strive for the highest standards, even under pressure. Articulate and good with people, you’ll be adept at building relationships, negotiating and working in harmony with others to get the job done. If you’re also determined to exceed expectations and develop your transaction management skills, we can offer you the chance to take on high levels of responsibility. Any knowledge of debt finance, structured products and asset-backed structures would be an advantage.
